NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into as of the date of electronic acceptance below, by and between:

HomeBid Ltd, a company registered in England and Wales ("Company"), and the undersigned party ("Recipient").

1. Confidential Information

"Confidential Information" means all non-public information disclosed by the Company, including but not limited to:

  • Business plans, financial projections, and revenue models
  • Technical specifications, architecture, and source code
  • Customer data, market research, and competitive analysis
  • Partnership discussions and commercial arrangements
  • Any information marked as "Confidential" or reasonably understood to be confidential

2. Obligations

The Recipient agrees to:

  • Hold all Confidential Information in strict confidence
  • Not disclose Confidential Information to third parties without prior written consent
  • Use Confidential Information solely for evaluating a potential investment
  • Not copy, reproduce, or distribute materials except as necessary for evaluation
  • Return or destroy all Confidential Information upon request

3. Term

This Agreement remains in effect for three (3) years from the date of acceptance, regardless of whether any investment or business relationship is established.

4. Exclusions

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of Recipient; (b) was lawfully in Recipient's possession prior to disclosure; (c) is independently developed by Recipient; or (d) is required to be disclosed by law.

5. Governing Law

This Agreement shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

6. Electronic Signature

By clicking "Accept & Continue", the Recipient agrees that this electronic acceptance has the same legal effect as a handwritten signature.
